Appointment of Key Personnel in a Designated Entity
A designated entity must obtain approval from the Minister prior to appointing key personnel. Key personnel refer to:

A chief executive officer, director, or chairperson of the board of directors of a designated entity that is a corporation;

A manager, or a partner of a designated entity that is a limited liability partnership; and
-
A partner of a designated entity that is a partnership.
In consideration for the appointment of key personnel, the Minister may consider the following:

An assessment of the key personnel on criteria relating but not limited to honesty, integrity, reputation and financial soundness; and

Potential impact on national security interests.

Removal of Key Personnel in a Designated Entity
If a key personnel of a designated entity was appointed without the necessary approval, or if any condition of approval has been breached, the appointed key personnel can be removed. The Minister may also remove any key personnel if deemed necessary in the interest of national security.
